1. Eligibility and Acceptance

VeriCore, its affiliates, assigns, and subsidiaries (“We“, “Us“, “Our“) owns and operates the website vericoreapi.com and provides real-time vehicle and identity verification APIs, including Vehicle RC Verification, Chassis-to-RC Verification, Vehicle RC to Mobile Number Verification, Aadhaar Verification, Aadhaar-to-PAN Verification, and Driving License Verification (collectively, the “Service” or “Services“) to business customers (“You“, “Your“, or “Client“).

These Terms and Conditions (“Terms“) form an agreement between VeriCore and You and govern Your access to and use of the Website and the Services. By accessing the Website, registering for API access, or using the Services, You accept and agree to be bound by these Terms, Our Privacy Policy, and Our Cookie Policy, each of which is incorporated herein by reference. These Terms apply to all visitors, registered developers, and Clients who access the Website or use the Services.

This document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act“) and the rules made thereunder, as applicable and amended from time to time, and does not require any physical or digital signature.

1.1. The Services are intended for use by businesses and other legal entities for legitimate KYC, onboarding, fraud-prevention, and compliance purposes. Only persons who can form legally binding contracts under the Indian Contract Act, 1872 are permitted to register for or use the Services on behalf of an Entity.

1.2. If You register for API access on behalf of a company, organization, or other juristic person (“Entity“), You represent and warrant that You are duly authorized to bind that Entity to these Terms, and “You” shall be read to include both the individual accessing the Service and the Entity on whose behalf they act.

1.3. The Services are not intended for use by individual consumers verifying their own documents for personal, non-commercial purposes. The Services are designed for integration into business systems by Clients with a legitimate business need to verify the identity or documents of their own end users, subject to Section 4 below.


2. Account and API Registration

2.1. To access the Services, You must register for an account and may be issued API keys, credentials, or access tokens. You must provide true, accurate, current, and complete information during registration, and keep that information up to date.

2.2. You are solely responsible for all activity occurring under Your account and API credentials, and must keep Your password, API keys, and access tokens confidential. You must notify Us immediately at [security@vericoreapi.com] of any suspected unauthorized use of Your account or credentials. VeriCore is not responsible for losses arising from Your failure to safeguard Your credentials.

2.3. If You provide information that is untrue, inaccurate, or incomplete, or if We have reasonable grounds to suspect Your use of the Services violates these Terms, We may suspend or terminate Your account and access to the Services, with or without prior notice, as set out in Section 13.

2.4. By providing Us Your email address, You consent to receiving Service-related notices, including legal notices, by electronic communication in lieu of postal mail. You may opt out of non-essential marketing communications at any time without affecting Your ability to receive Service-related notices.

2.5. We reserve the right to change the Services, discontinue any Service or feature, or impose usage limits, with reasonable notice to active Clients where commercially practicable.


3. Acceptable Use

3.1. You agree not to use the Website or the Services:

   3.1.1. for any unlawful purpose, or to solicit others to perform unlawful acts;    3.1.2. to violate any applicable Indian or international law, rule, or regulation, including data protection and identity-document laws;    3.1.3. to infringe Our intellectual property rights or those of any third party;    3.1.4. to harass, defame, discriminate against, or unlawfully profile any individual on the basis of a verification result;    3.1.5. to submit false, fraudulent, or misleading verification requests;    3.1.6. to upload or transmit viruses, malware, or other code intended to disrupt the Service or related infrastructure;    3.1.7. to scrape, spider, reverse-engineer, or attempt to extract the underlying data sources behind the API otherwise than through the documented API itself;    3.1.8. to resell, sublicense, or provide third-party access to the API or verification results without Our prior written consent, except to Your own end users as part of Your product or service;    3.1.9. to interfere with or circumvent the security features of the Service; or    3.1.10. to exceed Your contracted or documented rate limits in a manner intended to degrade Service availability for other Clients.

3.2. We reserve the right to suspend or terminate Your access to the Services for any violation of this Section, in accordance with Section 13.


4. Client-Submitted Verification Data and Client Responsibilities

This section governs Aadhaar numbers, PAN details, vehicle RC and chassis information, driving license details, mobile numbers, and any other data You submit to the API for verification (“Verification Data“), and is the most important section of these Terms for Clients to understand.

4.1. You, not VeriCore, are the data controller for Verification Data You submit. You are solely responsible for obtaining valid, informed, and lawful consent from the individual end user before submitting their Aadhaar, PAN, RC, driving license, or any other personal data to VeriCore’s API for verification. VeriCore acts as a data processor performing the specific verification You request, in accordance with Our Privacy Policy, Section 1.7A.

4.2. You warrant that:

   4.2.1. You have a lawful basis and the necessary consent to submit each individual’s data for verification;    4.2.2. You will not submit Verification Data for any individual without their knowledge or against their wishes;    4.2.3. You will not use verification results to unlawfully discriminate against, deny services to, or take adverse action against an individual, except where permitted by applicable law and Your own legitimate business processes (e.g., standard KYC rejection for failed verification);    4.2.4. You will comply with the Aadhaar Act, the DPDP Act, and all applicable UIDAI circulars and regulations governing the collection, storage, and use of Aadhaar data, including any restrictions on storing full Aadhaar numbers within Your own systems;    4.2.5. You will not use the Services for any purpose other than the legitimate verification of individuals with whom You have an existing or prospective business relationship.

4.3. VeriCore does not claim ownership of Verification Data You submit. We process it solely to deliver the verification result requested and do not use it for marketing, profiling, or any purpose beyond what is described in Our Privacy Policy.

4.4. We reserve the right to suspend or terminate Your access to the Services if We have reasonable grounds to believe You are submitting Verification Data without lawful consent, or are using verification results for an unlawful or unauthorized purpose.

4.5. You shall be solely responsible for the consequences of submitting Verification Data, including any claim brought by an individual whose data You submitted without proper consent. See Section 12 (Indemnity).


5. Use of the API

5.1. The Service is accessed through an application programming interface (“API“) through which You send verification requests and receive structured responses (“API Calls“).

5.2. Any use of the API must comply with Our published API documentation, rate limits, and authentication requirements, as may be updated from time to time.

5.3. No guarantee of uninterrupted availability. Except where a separate written Service Level Agreement has been agreed between You and VeriCore, the API is provided on a reasonable-efforts basis and is not warranted to be uninterrupted, error-free, or available at any particular response time. We will use reasonable efforts to notify active Clients of planned maintenance windows where practicable.

5.4. Accuracy of verification results. Verification results are generated by querying authorized third-party and government-linked data sources (e.g., UIDAI-authorized channels, vehicle registries, PAN databases). VeriCore validates and relays the result returned by these authoritative sources but does not independently create or guarantee the underlying accuracy of government-held records. We are not liable for inaccuracies originating in the source data itself.

5.5. You are solely responsible for all API Calls made using Your credentials, and agree not to share Your API key, password, or access tokens with any unauthorized third party.

5.6. We reserve the right to monitor, log, and rate-limit API Calls for security, billing, and quality purposes, and to suspend or throttle access where We reasonably suspect misuse, fraud, or a breach of these Terms.

5.7. We may discontinue, suspend, or modify the API, or any individual verification product, at Our discretion, with reasonable advance notice to active Clients where commercially practicable, except in cases of security risk, legal requirement, or breach of these Terms, where We may act without notice.


6. Proprietary Rights and Ownership

6.1. The Website, the API, the Services, and all related content, documentation, software, design, trademarks, and underlying technology (excluding Verification Data and any content You submit) (collectively, “VeriCore Content“) are owned by or licensed to VeriCore and protected under applicable Indian and international intellectual property law.

6.2. Except as expressly authorized in writing, You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from VeriCore Content.

6.3. If You submit suggestions, feedback, or feature requests regarding the Services (“Suggestions“), You agree that such Suggestions are given gratuitously and without restriction, and We may use them without any obligation or compensation to You.

6.4. You acknowledge that You have no ownership rights in Your account, API credentials, or any data VeriCore holds on its servers, beyond the rights expressly granted in these Terms and applicable data protection law with respect to Your own business data.


7. Payment and Billing

7.1. Billing model. Access to certain Services is provided on a pay-per-verification or subscription basis, as set out in Your applicable pricing plan or order form. Pricing may be revised by VeriCore from time to time, with changes taking effect in the billing cycle following notice to You.

7.2. Accuracy of billing information. You agree to provide true, accurate, and current billing information, and to pay all charges incurred in connection with Your use of the Services at the rates in effect at the time of use.

7.3. No refunds. Except as required by applicable law or expressly agreed in a separate written agreement, fees paid for verification calls already processed, or for unused subscription periods following account termination, are non-refundable.

7.4. Taxes. You are responsible for any applicable taxes relating to Your use of the paid Services, except for taxes based on VeriCore’s net income.

7.5. Non-payment. We reserve the right to suspend access to the Services for accounts with overdue payments, subject to reasonable prior notice.


8. Privacy

By using the Services, You acknowledge and agree to the collection, use, and processing of information as described in Our Privacy Policy, including Section 1.7A governing Aadhaar, PAN, RC, and driving license data submitted through the API. Our Privacy Policy and Cookie Policy are incorporated into these Terms by reference.


9. Disclaimer

9.1. THE WEBSITE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERICORE EXCLUDES ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE.

9.2. VeriCore does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components, except as may be separately agreed in a written Service Level Agreement.

9.3. VeriCore does not guarantee the underlying accuracy of third-party or government-held records returned through the API (see Section 5.4), and makes no representation that a “verified” result guarantees the absence of fraud on the part of the individual being verified.

9.4. Nothing on the Website or in the Services is to be construed as legal, financial, or compliance advice. You remain solely responsible for ensuring Your own use of verification results satisfies Your applicable regulatory obligations.

9.5. The Website may link to third-party websites not owned or controlled by VeriCore. We do not endorse and are not responsible for the content or practices of any linked third-party site.


10. Limitation of Liability

10.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERICORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

10.2. VeriCore’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount actually paid by You to VeriCore for the Services in the [three (3) / six (6) — confirm preferred period] months immediately preceding the event giving rise to the claim.

10.3. The limitations in this Section shall not apply to the extent prohibited by applicable law, or to liability arising from VeriCore’s gross negligence, willful misconduct, or breach of confidentiality obligations regarding Your data.

10.4. The Services are operated from facilities in India. VeriCore makes no representation that the Services are appropriate for use in other jurisdictions, and Clients accessing the Services from outside India do so at their own risk and remain responsible for compliance with applicable local law.


11. Indemnity

You agree to defend, indemnify, and hold harmless VeriCore, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) Your use of the Services; (b) Your breach of these Terms, including without limitation Section 4 (Client-Submitted Verification Data and Client Responsibilities); (c) Your failure to obtain valid consent before submitting an individual’s data for verification; (d) Your violation of any applicable law, including the Aadhaar Act or the DPDP Act; or (e) any third-party claim arising from Your use of verification results.


12. Term and Termination

12.1. These Terms remain in effect for as long as You maintain an account or use the Services.

12.2. You may terminate Your account at any time by ceasing use of the Services and notifying Us in writing. No refunds will be issued for prepaid or unused Services except as required by law or separately agreed.

12.3. We may suspend or terminate Your account, with or without notice, for breach of these Terms, non-payment, suspected fraud, suspected unlawful submission of Verification Data, or as required by law or regulatory direction.

12.4. Sections 4, 6, 9, 10, 11, and 14 shall survive termination of these Terms.


13. Governing Law and Dispute Resolution

13.1. Governing Law. These Terms, the Privacy Policy, and the Cookie Policy shall be governed by the laws of India. Subject to Section 13.2, all disputes shall be subject to the exclusive jurisdiction of the courts at Mumbai, India.

13.2. Arbitration. In the event of a dispute, You agree to first contact Us at [legal@vericoreapi.com] to attempt an amicable resolution. If unresolved, the dispute shall be referred to a sole arbitrator appointed by VeriCore, seated in Mumbai, conducted in English, and governed by the Arbitration and Conciliation Act, 1996. This shall not prevent VeriCore from seeking injunctive relief from a court of competent jurisdiction to prevent actual or threatened infringement of its intellectual property, data security, or proprietary rights.


14. Miscellaneous

14.1. Assignment. You may not transfer or assign these Terms or any rights hereunder without Our prior written consent. VeriCore may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

14.2. Amendments. We may update these Terms from time to time. Material changes will be notified via the Website or by email to registered Clients. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14.3. Notices. We may provide notices via email, written notice, or posting on the Website, at Our discretion.

14.4. Entire Agreement / Severability. These Terms, together with the Privacy Policy, Cookie Policy, and any separately executed order form or Service Level Agreement, constitute the entire agreement between You and VeriCore regarding the Services. If any provision is held invalid by a competent court, the remaining provisions shall continue in full force and effect.

14.5. No Waiver. No failure by VeriCore to enforce any right or provision of these Terms shall constitute a waiver of that right or provision.
